LEGAL & CONFIDENTIALITY AGREEMENT
UK residents are subject to the legal provisions of the Financial Services & Markets Act 2000. Non-UK residents must ensure that they comply with any relevant legislation in their country of residence. Please read the following terms & conditions carefully. For completed business purchases introduced through CMR, there is a fee payable to CMR by the purchaser(s) equivalent to 0.5% of the total purchase price payable to CMR within 7 days of completing the purchase.
I undertake to keep confidential all information, data and other details on companies and individuals introduced to me by CMR and to use such information only for the purposes of evaluating the business opportunity presented to me. I will return all documents upon request. This undertaking to maintain confidentiality will terminate; a) with the written agreement of both parties, or b) if the information is found to be in the public domain, or c) if the information is published or otherwise becomes art of the public domain other than through a breach of this agreement, or d) if the information is already known to me. I undertake not to make any agreement, either directly or indirectly, with any party introduced to me by CMR, without CMR's written permission. I acknowledge that CMR makes no representation or warranty as to the accuracy or completeness of any information given, nor that CMR has any liability whatsoever to me resulting from the use of information supplied. I confirm that if I am a UK resident that I am either a certified High Net Worth Individual or Sophisticated Investor as defined by the Financial Services and Markets Act 2000 and will keep such certification valid whilst an associated investor with CMR. If a UK resident, I undertake not to make any investment as a result of any introduction through CMR unless required FSMA certification is current and valid. If I am not a UK resident I undertake to comply with any relevant legislation in my own country of residence. I understand that should I complete a business purchase that has been introduced to me through CMR that a fee equivalent to 0.5% of the total purchase price is payable by me to CMR within 7 days of completing the purchase.
